Raising Capital in Gray Areas

No matter what the market is doing this month or this quarter, there are still strong, pre-public companies looking for growth capital to expand into new markets, launch new, wanted products, or too simply increase market share.

Down markets usually close the doors for IPOs or new secondary offerings.  Thus, companies poised to take the next step, going public, are forced to pull their registration and wait, or hope, for a quick turn in the economy.  Globally, 83 companies pulled their IPOs and some 24 others postponed their offerings during the first quarter of this year; mostly citing declining markets and recession concerns per The New York Times.

So, what can these companies do?

Many are looking too venture capital to raise enough cash to get them through the next few months or years until the IPO windows open again.  But, Venture Capital comes with many strings that could be detrimental or hindering including lost of control and dilution.

There are other ways – private placements.

According to Wikipedia, ‘…a private placement is an offering of securities that are not registered with the Securities and Exchange Commission (SEC). Such offerings exploit an exemption offered by the Securities Act of 1933 that comes with several restrictions, including a prohibition against general solicitation. This exemption allows companies to avoid quarterly reporting requirements and many of the legal liabilities associated with the Sarbanes-Oxley Act.’

There are some caveats regarding the amounts that can be raised through private placements.  Under 504, companies can raise up to $1 million in a 12-month period.  Under 505, companies can raise up to $5 million in a 12-month period – with restrictions to the type and number of investors.  Under 506, companies can raise any amount provided their investors meet very strict guidelines – usually institutional investors including banks and financial institutions, pension funds, and insurance companies who are still, despite declining markets, liable for hundreds of billions in capital that must be efficiently put to work.

Benefits of private placements for companies include:

-         Can be used by mature companies, start-ups, or anything in between.

-         Much lower cost to issue than an IPO.

-         Little or no reporting requirements.

-         Limit the amount of information that a company has to disclose by limiting the number and type of investors.

-         Can issue debt and/or equity.

-         Can raise capital quickly.

-         Great for small issues or issues encumbered by complex security measures. And most important,

-         Can be sold to some of your stakeholders like your suppliers, your distributors, your retailers, or your franchisees – companies that already know you and respect your organization.

In conjunction with these private placements, the SEC has adopted Rule 144A of the Securities Act of 1933 that allows these securities to be traded amongst each other – provided the seller and investor are qualified institutional buyers with over $100 million in investable assets.  The goal of this rule was to create liquidity for these private, restricted shares as well as foster foreign companies to seek equity in the US market.

John Jacobs, Executive Vice President of Nasdaq, stated, “The amount of capital raised last year (2006) through the 144A market - $162 billion – was bigger than all the IPOs and secondary offerings on Nasdaq, the NYSE, and Amex put together.”

Further, the 144A market continues to grow as organizations like the Nasdaq are creating electronic trading platforms for these private placements.  Prior to these new trading platforms, investors of these shares were extremely limited with these investments.  They would typically buy and hold these securities until the investee went public.

Bottom line, if your company needs public type money but does not want to wait for the IPO markets to reopen, private placements may be the way to go.  Start by talking with you CPA, your national bank, or your investment banker.

How to Remove Sugar from a Recipe but Not the Sweet Taste

Cooking without sugar can be a challenge despite the fact that there are literally hundreds of recipes for cooking with sugar substitutes online. There are also dozens of cookbooks out there that focus on sugar-free cooking, and every month at least one women’s magazine features sugar-free recipes for dieters and diabetics.

However, none of these sugar substitute resources will do you any good if you have a favorite recipe that calls for sugar.. Should you find yourself in this predicament, you’re mostly on your own to figure out just how to remove the sugar from your recipe without destroying the recipe itself. Understanding the role of sugar and how it works in your recipes can help you make better decisions on how to modify your favorite desserts, glazes and baked goods.

What exactly does sugar do in your recipes?

Sugar adds more than just sweetness to your recipes. This is especially true with recipes that are baked, boiled, fried, or cooked by some other means. The way that sugar reacts to heat and interacts with other ingredients in the mixture is very much essential to the success of the recipe. If you don’t understand exactly what role sugar plays in your recipes, you’ll most likely end up doing hit-or-miss modifications to your favorites. And while you may get lucky from time to time, chances are that your food will turn out wrong more often than not. The following are some of the roles that sugar plays in your recipes and ways you can reduce or remove the sugar from the recipe entirely.

Sugar as a sweetener

Most people think of sugar as a sweetener with good reason – that is the substance’s most familiar role in food. Sugar’s most important role in foods such as custards, drinks, ice cream and candy is to sweeten them. In recipes where sugar is there mainly present to sweeten the pot, you can easily replace the sugar with a sugar substitute. There are many choices of artificial sugar substitutes, but the one most commonly recommended to replace sugar is Splenda Granulated. Splenda Granulated is created to pour and measure exactly like sugar, so using it is as simple as substituting it on a one for one ratio in your recipes. Besides a slight difference in taste, the only difference you’ll notice when substituting with Splenda in deserts like custard and pudding is that they won’t set up quite as thick.

Texture and moisture

Sugar also contributes to the texture and the moisture of your finished baked goods. This will definitely be the case when you’re baking fruit breads, carrot cakes and other moist baked goods that use brown sugar. If you don’t need to remove ALL the sugar from the recipe, you can try replacing the white sugar with an artificial substitute and leaving the brown sugar intact. If you are looking for more precision, Splenda also makes two sugar blends – Splenda Blend and Splenda Brown Sugar blend – which replaces half the sugar content with sugar substitute and bakes just as well as 100% sugar.

Though recipes like angel food cake and pound cake need sugar for their texture you can still cut out about 25% of the sugar and replace it with a sugar substitute without substantially changing the texture of the finished product.

If you prefer to get rid of all the sugar, you can also try one of these tricks:

-         Substitute applesauce or a fruit puree for the sugar, and add vanilla to intensify the sweet flavor.

-         Use apple juice or white grape juice in place of some of the liquids called for in your recipe.

-         Mix fruits in recipes to accent flavors. For instance, adding berries or cherries to apples makes apple pie filling much sweeter.

-         When baking cookies without sugar, use a fork to press the dough down lightly before baking as the presence of sugar helps cookies to spread out during the baking process.

Pivotal Vibration Training: The New Frontier of Functional Strengthening

 

The days of dissecting the human muscular system into a collection of isolated, independently acting muscles are now in the past. When it comes to our daily muscular demands, those that ultimately determine our degree of physical and often mental exhaustion at the end of each day, strengthening muscles in single planes of motion no longer makes sense. When was the last time anyone accomplished anything functional in their daily lives by repeatedly flexing and extending their knee while the rest of their body remained stationary? Or better yet, when did human movement involve abducting and adducting your hips while you sat in a chair. While I am not suggesting that these exercises do not provide value, they simply fail to succeed at preparing the body, or the nervous system that operates it, for the actual activities that we engage in each day. This realization is behind the mass movement in the physical therapy field towards abandoning the monotonous, robotic movements that have been prescribed for so many years and embracing what has come to be known as functional strengthening.

Functional strengthening involves exercises being performed with body weight, cables, or other forms of resistance through movements designed to reproduce functional activities of our daily lives (pushing, pulling, squatting, etc.). With origins linked to sports performance enhancement and neurological rehabilitation, functional strengthening theory tells us that in order to continue to efficiently and effortlessly carry out the many complex interactions that our muscles undergo on a day to day basis, there must be specificity in the way in which they are trained. This approach emphasizes the importance of coordinating the complex interactions of both the neural and muscular components of functional activities. This is the incomparable value of this approach and it is accomplished primarily by enhancing our nervous systems ability to communicate; in other words, taking advantage of its “neuroplastic” capabilities.

Neuroplasticity

The neuroplasticity model of the nervous system, arguably the biggest scientific breakthrough of the 20th century and a subject of many recent studies, explains that through repeated exposure to a given activity, no matter how old we are, our central nervous system is capable of reorganizing itself to meet our demands. This reorganization process has been hypothesized to be the result of increased synaptic transmission speeds through increasingly dense neural networks. In the paraphrased words of Donald O. Hebb (1), a pioneer in nervous system learning theory called Hebbian Learning, “Neurons that fire together, wire together.” Through this reorganization process, the ability to carry out the activity with greater accuracy, less energy expenditure, and faster speed is improved. As this concept translates into the functional strengthening approach, the more frequent and precise a specific functionally relevant exercise is performed, the faster, stronger, and more efficiently that movement can be reproduced when needed.  Thanks to functional brain imaging, neuroplastic theory’s validity is increasing rapidly and has begun to change the way we look at our patient’s potential to respond to physical therapy. As a result, our increased desire to maximize our patient’s functional and recreational status has forced us to look towards newer methods of achieving functional strength. One method, referred to as vibration training, is rapidly emerging and has distinguished itself due to its amazing ability to directly “tap in” to the nervous system. Capable of safely reproducing compound involuntary muscle contractions with repetition rates never before seen, vibration training may be the next great leap in rehabilitation.

 

Pivotal Vibration Training

There are currently two types of vibration training platform systems on the market today. The first system, referred to as lineal, linear, or vertical, moves straight up and down and predominantly stimulates muscles that work along the sagittal plane. The second type of system referred to as a “pivotal”, or “alternating” system, moves in a teeter-totter direction and engages muscle that work along the frontal and transverse planes. While both have significant value, when considering the reciprocal nature of human locomotion and the need for training specificity, pivotal vibration training provides the greatest potential to maximize an individual’s functional capabilities in rehabilitation settings. 

Created in an effort to combat bone density loss, the first pivotal vibration platform was created in Germany in the 1990’s. This platform system, referred to as the Galileo, is behind the majority of the research that exists today in support of vibration technology for rehabilitation purposes (2, 3, 4). Pivotal vibration training involves anything from simply standing on to performing complex functional strengthening exercises on a moving pivotal vibration platform. When performed correctly, pivotal vibration training allows for the body to undergo thousands of reciprocal muscular contractions in minutes. The number of contractions is calculated by multiplying the frequency of the platform by the time of exposure. These contractions are easily tolerated by most patients, no matter their level of function.

To better understand how these contractions occur, one must “pop open” the physics book for a quick review. As a result of the motion of this platform, the body is safely “thrown” side-to-side at very high speeds over small distances. This movement can occur at a distance of anywhere from 2-10 mm (amplitude) depending on the foot position one assumes on the platform. It takes place anywhere from 18-27 times per second (frequency). As a result of this forced movement, the body utilizes its natural stretch reflex to contract the muscles that are required to counter this movement. This is done in an unconscious effort to maintain the body in an upright position and has been hypothesized to involve higher centers of central nervous system modulation (5). These involuntary contractions are achieved primarily through the fast twitch fibers of the postural musculature and are believed to occur in up to 90% of the involved muscle’s fibers. This is a dramatic difference from the 40-50% percent thought to be used for most voluntary strengthening exercises; those exercises that comprise a great deal of traditional rehabilitation protocols. These additional contractions occur simultaneously with the larger movements being actively performed on the platform and therefore serve to enhance the demand on the muscles involved.

With vibration training, the strength of the reflexive muscle contractions is a reflection of the acceleration of the platform. Acceleration, often referred to by manufacturers as the platform’s “g-force”, is a reflection of the frequency and amplitude of the platform’s movement (higher frequencies coupled with higher amplitudes equates to higher g-forces).  In contrast to traditional exercise, where we work to increase muscle force output by increasing our mass with weights against a constant acceleration (gravity), vibration training exercises are accomplished by maintaining a constant mass against a changing level of acceleration.

With vibration training, one also achieves increased blood flow (6), lymphatic system movement, and mechanically induced deformation of restricted connective tissue. These benefits further emphasize that pivotal vibration training is simply one of the most effective forms of functional strengthening that our profession has seen yet. This is supported by the exponentially increasing amount of research being done throughout the world in support of its efficacy; research that has demonstrated its ability to increase muscle power (7), increase bone density (8), improve body composition (9) balance hormone levels (10), and improve balance (11).

 

The Future

Up to this point, vibration technology has been nothing more than a curiosity to the western physical therapy world. Its growth has been slow as a result of confusing claims and ambiguous explanations of how exactly it works. For those who have taken the time to explore this technology, questions over the legitimacy of this technology have been raised thanks to cheaply manufactured equipment; equipment incapable of functioning properly and therefore unable to deliver any real value to the patient. Much like any device that transfers or utilizes energy, the quality of the materials used ultimately determines its ability to perform properly and with accuracy.

With consideration of the importance of proper manufacturing and a review of simple physics, this technology is actually quite simple to comprehend. When better understood, the strength of this technology becomes apparent. With its endless applications, this is a clear example of the impending evolution of exercise science. Time will soon prove that there is no better means to jumpstart a patient’s nervous system than vibration training. In accomplishing this otherwise difficult feat, we will be able to more effectively treat our patients and maximize their progress.

i just had a dream i just woke up from.. It was about this guy who was some sort of a demon, he showed no expression..but he would kill and control people by some sort of mind control..he would make people kill themselves..and if you were within his radius he would kill you.. at first you would be able to get away because he would be in another area... but soon he was able to control all area's of the building and there was no where to hide till we were in one open room like a gymnasium, as the demon appeared people went into a panic and rushed throught he doors that were shut and people started jumping off of a platform that was about 3-4 stories high, some broke bones, some made it safe. and some died.. but i didnt jump off the platform i jumped off some sort of balcony into another room and i was safe.. any ideas on what this dream means?

Maybe you did something you knew you shouldn't have done, as the demon could represent.
Also, running from the demon could mean that you aren't facing what you did wrong and you are just running from it.
Instead of taking the painful way to safety (telling someone what you did wrong and taking the concequences for it) you jumped to a place you thought you would be safe (kept running from it).
Otherwise, it could mean nothing.

Comfort and Style – it Must be a Platform Bed

As people, we can be hard to please at times. We want jobs that make us tons of money yet still provide minimal or non-existent stress; or perhaps the car that can go from 0 to 60 in 2.3 seconds but is still thrifty on the gas. It is no different with bedroom furniture. Today's modern society has us craving for a stylish bed that also provides optimal cushioning, support, and comfort. Enter the Platform Bed.

But it would be unfair to go into detail as to why platform beds have become so popular over the years without going over some of its basic history, influences, and the different types.

A Brief History:

The Platform bed isn't necessarily a new invention. Rather, it is more of an evolutionary concept as the first platform beds could be better defined as Loft beds. These beds were raised on four poles, so as to use the bottom area as a workstation or extra living space. However, as times and trends moved on, the beds became lower and lower. They eventually got to the point where it is today, very close to the ground, giving birth to the modern day platform bed.

What makes platform beds different from others is the lack of a necessary box spring and slats for support. Although some may still use a box spring, it is more common to see platform beds without it. Also, instead of wooden or metal slats to support the bed, most use a straight flat base to support the mattress. Headboards and Footboards are also sparingly used in platform beds; however some still may incorporate them.

Influences:

Although there are many different styles that platform beds come in, the most noticeable influence that they were derived from are traditional Japanese beds. Traditionally, Japanese beds are very close to the ground and very flat. Platform beds take on similar traits. For example, many are indeed lower to the ground than traditional beds. This provides a sense of extra space in your bedroom. Also, many mattresses that accompany the bed are firmer than standard mattresses. This is used to promote a straighter posture as you sleep. Some platform beds even incorporate Japanese Tatami Mats, which are usually made of straw and are used for keeping people and objects separated from the bed frame.

Today, many contemporary styles exist, made to suit western-style living, utilizing pillow-top mattresses, and head or foot boards. Some are even elevated higher than traditional platform beds.

Different Types of Platform Beds:

Modern:

Modern Platform Beds use very sleek and sexy lines to create a clean and fresh feeling for your bedroom. Most are made of metal, however there are some made of wood. Some may include casters for added mobility and convenience if you're ever in need of moving your bed from one room to the next. Modern platform beds usually use bold colors and finishes, such as black, white, or red.

Accent Platform Beds:

These beds are usually made of wood and are very delicately designed with accents to create a classic feel. Scroll work and motifs are commonly used to decorate accent beds. Many are coated with classic finishes such as cherry or oak.

Contemporary:

Contemporary Platform Beds take on similar traits of both accent and modern beds, giving you the best of both worlds. They commonly use clean lines such as those found in modern platform beds however will have small accents for additional charm. Contemporary styles utilize a large range of finishes from white to black to brown.

Canopy:

Although more of a rarer form of platform bed, some furniture manufacturers will produce Canopy Platform Beds. These will have four high posts in each corner which you can use to cover with drapes to add more privacy.

With a strong history, influential designs, and many styles to choose from, you now know why Platform Beds have become so popular in today's society. So remember, the next time you see a bed with Style and Comfort – It must be a Platform Bed.
